VinInfoHub Affiliate Program Agreement

This is a binding agreement between you (the "Affiliate") and the operator of VinInfoHub (the "Company"). By enrolling in or using the Affiliate Program, you accept these terms. If you do not agree, do not enroll, do not generate referral links, and do not place referral cookies.

1. Eligibility & enrollment

  1. You must be at least 18 years old and have legal capacity to enter into this agreement.
  2. You must hold an active VinInfoHub user account in good standing.
  3. Enrollment is automatic for all signed-in users who visit the affiliate dashboard. The Company may at any time refuse, suspend, or revoke participation without prior notice.
  4. You may not transfer, sell, or assign your affiliate account, code, or rights under this agreement.

2. Commissions, attribution & payouts

  1. Standard tier: 10% of the post-discount amount the Referred User pays the Company on each qualifying purchase. Earning window: 90 days from the Referred User's signup.
  2. Partner tier: 20% of the post-discount amount, 180-day earning window. Promotion is automatic at 50 paid conversions, or by manual approval. Partner status is permanent unless revoked for cause.
  3. Attribution: last-touch within a 30-day cookie window. A Referred User may only ever be attributed to one Affiliate; an attribution, once recorded, is permanent for that user.
  4. Self-referral: prohibited. The Company employs technical measures (IP and browser-fingerprint clustering) to block self-referrals. Repeated self-referral attempts may result in suspension and forfeiture of unpaid commissions.
  5. Hold period: all commissions are subject to a 30-day refund hold before becoming Available. The Company may extend this hold for any Affiliate it reasonably suspects of fraud, abuse, or violation of these terms.
  6. Payout methods: Available commissions are deposited as VinInfoHub credit by default (instant, no fees). Affiliates may instead opt into a cash payout via PayPal, cryptocurrency, or Stripe, each subject to a $50 minimum-payout threshold.
  7. Payout fees: Cash payouts (PayPal, crypto, and Stripe) may incur processing, transaction, or network fees charged by the payment provider. These fees are deducted from the payout amount — the Company does not absorb them. The exact fee depends on the provider and, for crypto, the network conditions at the time of the send. Credit-to-wallet payouts are always fee-free. Crypto payouts are sent to the wallet address you provide; on-chain sends are irreversible, and the Company is not responsible for funds lost to an incorrect address or network selection.
  8. Refund clawback: if a Referred User receives a refund, the corresponding commission is reversed. Reversed commissions reduce your Available balance; if your Available balance is insufficient, the Company may offset the deficit against future earnings or, at its discretion, recover the amount through other lawful means.
  9. Bonus / promotional amounts (if any) are non-refundable and may expire as stated at the time of award.

3. Prohibited conduct

You agree not to engage in any of the following. Violation is grounds for immediate termination and commission forfeiture.

  1. Misrepresenting yourself, VinInfoHub, our services, pricing, or features.
  2. Using spam (UCE), unsolicited mass messaging, link-stuffing, or cookie-stuffing.
  3. Operating fake users, sock-puppet accounts, or fraudulent purchases to inflate referrals.
  4. Distributing malware, trojans, browser extensions that inject affiliate links, or any technical means that places our referral cookie without user knowledge.
  5. Trademark infringement, registering VinInfoHub-confusingly-similar domain names, or impersonating VinInfoHub employees.
  6. Violating any applicable law including (without limitation) CAN-SPAM, GDPR, CCPA, FTC endorsement disclosure rules, and consumer protection laws in your jurisdiction.
  7. Marketing VinInfoHub to anyone the Company has notified you we will not serve, or to any sanctioned person or entity.

4. Tax responsibility

You are solely responsible for any taxes owed on commissions earned. For US-based Affiliates who receive cash payouts via Stripe Connect, Stripe will collect a W-9 and (if applicable) issue a Form 1099-NEC for the calendar year. For non-US Affiliates, Stripe collects Form W-8BEN. Credit-only commissions are not reported on a 1099 but may still be taxable income in your jurisdiction. The Company is not your tax advisor; consult one if you are unsure.

5. Independent contractor relationship

Nothing in this agreement creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and the Company. You have no authority to bind the Company in any way. You will not represent yourself as a VinInfoHub employee, agent, or representative.

6. Term & termination

  1. This agreement remains in effect until terminated by either party.
  2. You may terminate at any time by ceasing all use of your affiliate code and notifying us at contact@vininfohub.com.
  3. The Company may terminate or suspend your participation at any time, for any reason or no reason, with or without notice.
  4. Upon termination: (a) your affiliate code will be deactivated; (b) any Available commission balance not yet paid out at the time of termination may be forfeited if termination is for cause (fraud, TOS violation, chargeback abuse); (c) clauses that by their nature should survive (Sections 4, 7, 8, 9, 10, 11) will survive.

7. Modifications

The Company may modify this agreement, the commission structure, attribution rules, or the program itself at any time. Material changes will be communicated via the Affiliate dashboard or email at least 7 days before they take effect for new earnings; in-flight commissions retain the rate snapshotted at the Referred User's signup unless modified for cause. Your continued use of your affiliate code after the effective date constitutes acceptance of the modified terms.

8. Disclaimer of warranties

THE AFFILIATE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PROGRAM, TRACKING, OR PAYOUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT YOUR REFERRAL LINKS WILL ALWAYS CONVERT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF COMMISSIONS THE COMPANY HAS PAID OR OWES YOU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

10. Indemnification

You will defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to (a) your breach of this agreement, (b) your violation of any law or third-party right, (c) the content you publish, link to, or transmit in connection with your participation, or (d) any user or consumer complaint about your marketing activities.

11. Governing law, arbitration & class waiver

  1. Governing law: This agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules.
  2. Mandatory arbitration: Any dispute, claim, or controversy arising out of or relating to this agreement or the breach, termination, enforcement, interpretation, or validity thereof will be determined by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English, on a documents-only basis where possible, and the arbitrator's decision will be final and binding.
  3. Class action waiver: All claims must be brought in the parties' individual capacity, not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person's claims.
  4. Exceptions: Either party may bring an action in small claims court for disputes within the scope of that court's jurisdiction. Either party may also seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

12. Entire agreement

This agreement, together with the VinInfoHub Privacy Policy, the Terms and Conditions, and the Affiliate Privacy Notice, constitutes the entire agreement between you and the Company concerning the Affiliate Program and supersedes any prior agreements, communications, or representations.
